1. Acceptance of Terms

By downloading, installing, or using the Clipsule iOS application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users of the App, including Free and Pro users and users of both local and cloud processing.

2. Description of Service

Clipsule is an iOS application that transcribes, summarizes, and plays back video and audio content. The App offers two processing methods:

  • Local Processing: Available to Free and Pro users. Audio transcription runs locally on your device using an on-device Whisper model.
  • Cloud Processing: An optional Pro feature that uses third-party cloud AI services through our backend. An internet connection is required and usage limits may apply.

3. Eligibility

You must be at least 13 years old to use Clipsule. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

4. Acceptable Use

You agree to use Clipsule only for lawful purposes. You agree not to use the App to:

  • Process, summarize, or distribute content you do not have the right to use
  • Circumvent, disable, or interfere with security features of the App
  • Attempt to reverse engineer, decompile, or extract source code from the App
  • Use automated scripts to abuse the cloud-processing API or circumvent rate limits
  • Process content that is illegal, harmful, defamatory, or infringes third-party rights
  • Use the App for any commercial purpose without our prior written consent
  • Resell, sublicense, or commercially exploit the App or its output

⚠️ Processing copyrighted content (movies, TV shows, music, podcasts you don't own rights to) for redistribution may violate copyright law. You are solely responsible for ensuring you have the rights to use any content you process through Clipsule.

5. Intellectual Property

5.1 Our IP

Clipsule and all associated intellectual property — including but not limited to the App, its design, code, branding, and content — are owned by or licensed to us. Nothing in these Terms grants you ownership of any of our intellectual property.

5.2 Your Content

You retain full ownership of any content you process through Clipsule. By choosing cloud processing, you grant us and our service providers a limited, temporary license to transmit and process your content solely to provide the requested transcription, summarization, or playback feature. This license terminates when processing is complete, except for limited technical or transaction records retained as described in our Privacy Policy.

5.3 AI-Generated Output

Summaries and transcripts generated by Clipsule are provided for your personal use. We make no claim of ownership over AI-generated summaries of your content.

6. Cloud Processing — Rate Limits & Fair Use

Cloud processing uses third-party AI services that have associated costs. To ensure fair access, fair-use limits may apply:

  • We may limit the volume of cloud-powered summaries per device to prevent abuse and manage service costs
  • Fair-use limits are enforced via an anonymous device token stored in your Keychain

We reserve the right to adjust fair-use limits at any time. Attempts to circumvent these limits (e.g. by spoofing device tokens) may result in restricted access to cloud processing.

7. Subscriptions and In-App Purchases

Clipsule may offer an automatically renewing Pro subscription through Apple's App Store. The price, billing period, trial terms (if any), and included features are displayed in the App before you confirm a purchase.

  • Payment is charged to your Apple ID account when you confirm the purchase.
  • Your subscription automatically renews unless you cancel it at least 24 hours before the end of the current billing period.
  • Apple may charge your account for renewal within 24 hours before the current period ends.
  • You can manage or cancel the subscription in your Apple ID subscription settings. Deleting Clipsule does not cancel an active subscription.
  • You may restore eligible purchases using the restore-purchases option in the App.
  • Refund requests and billing disputes are handled by Apple under Apple's applicable policies.

We use RevenueCat to validate App Store transactions and manage access to Pro features. RevenueCat does not process your payment card and does not receive your audio, transcripts, or summaries. Subscription availability, pricing, features, and usage limits may change, but changes to an active subscription price are handled according to Apple's rules and any notice or consent requirements that apply.

8. Disclaimer of Warranties

Clipsule is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that:

  • The App will be error-free, uninterrupted, or always available
  • AI-generated summaries will be accurate, complete, or suitable for any particular purpose
  • Transcriptions will be 100% accurate (accuracy depends on audio quality, language, and accent)
  • The App will be compatible with all iOS devices or future iOS versions

AI-generated summaries are for informational purposes only. Do not rely on them for legal, medical, financial, or other professional decisions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including but not limited to:

  • Loss of data or content
  • Inaccurate summaries or transcriptions
  • Unauthorized access to your device or data
  • Service interruptions or downtime

Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim (which, for a free app, is $0).

10. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Clipsule and its owners, operators, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms or any applicable law
  • Content you process through the App that you do not have the right to use
  • Your infringement of any third-party right, including intellectual property or privacy rights
  • Your misuse of the App or any cloud-processing feature

11. Third-Party Services

Cloud features rely on third-party services, including Groq, Soniox, OpenAI, Cloudflare, Apple, and RevenueCat. These services have their own terms and policies. We are not responsible for their availability or actions, and interruptions may temporarily affect cloud processing or subscription verification. Our use of these providers and their handling of data are described in our Privacy Policy.

12. App Store and Apple Terms

Your use of Clipsule is also subject to Apple's App Store Terms of Service. In the event of a conflict between these Terms and Apple's terms, Apple's terms shall govern with respect to matters specifically covered by Apple's terms (e.g. payment processing, refunds).

The following terms apply because Clipsule is distributed through the Apple App Store:

  • Parties: These Terms are concluded between you and Clipsule only, and not with Apple. Apple is not responsible for the App or its content.
  • Scope of license: Your license to use the App is limited to a non-transferable license to use it on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.
  • Maintenance and support: Clipsule is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.
  • Warranty: Clipsule is solely responsible for any product warranties, whether express or implied by law. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Product claims: Clipsule, not Apple, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory non-compliance, and consumer protection claims.
  • Intellectual property: In the event of any third-party claim that the App infringes intellectual property rights, Clipsule, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
  • Legal compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-party beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

13. Termination

You may stop using the App at any time. Deleting the App does not cancel an active subscription; subscriptions must be canceled through your Apple ID settings. We reserve the right to restrict or terminate access to cloud features at our discretion, including in cases of:

  • Violation of these Terms
  • Abuse of rate limits or the API
  • Activity we reasonably believe is harmful or illegal

Upon termination, your locally stored summaries and transcripts remain on your device until you delete them. We have no ability to remotely delete content stored on your device.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to binding arbitration rather than court proceedings, to the extent permitted by law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clipsule regarding the App and supersede any prior agreements or understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing to be effective.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

15.5 Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, network or infrastructure outages, third-party service failures, or government action.

15.6 Feedback

If you choose to send us feedback, suggestions, or ideas about the App, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation or compensation to you.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via an in-app notice. The updated Terms will be posted at this URL with a new "Last updated" date. Your continued use of the App after the effective date of changes constitutes acceptance of the updated Terms.
